GENTLEMEN,
Having occasion from time to time to negotiate with you Bills of Exchange
accompanied or'followed by Shipping documents handed to you as collateral Se
curity for the due -payment of such Bills, desire by this general Letter,
and so as to prevent the necessity of a separate Letter in each case,
to state the Agreement between us in regard to all such documents, which is as
follows:— It being understood that all the powers and authorities hereby given to
you are (as far as may be needful) powers and authorities equally given to or in
favour of any Manager or Agent of yours and the holders for the time being
of any Bill so negotiated, as .if such Manager, Agent and holders were in each
case specially named, and that such powers and authorities may be exercised
accordingly:—
You are authorized (but not so as to make the same in any way impera
tive) to take conditional acceptances to all or any of such Bills, to the effect
that, on payment thereof, the relative Bills of Lading and Shipping documents
shall be delivered to the Drawees or Acceptors thereof, and to deliver the same
to them on payment accordingly, and such authorization shall be taken to extend
to cases of acceptance for honour, and in the case of Bills not so conditionally
accepted, you are equally authorized if you think fit to deliver up the relative
documents on payment.
You are further authorized, on default being made in acceptance on pre-
sentation, or in payment at maturity of any of such Bills, or on the Drawees’ or
Acceptors’ Suspension of payment during the currency of any of such Bills, and
whether conditionally or absolutely accepted, to seil at such time or times, and
in such manner as you shall think fit, all or any part of the Goods the documents
of which are held by you and to apply the net proceeds (after deducting usual
Commission and charges) in payment of such Bills, with re-exchange and charges;
the balance (if any) to be applied in liquidation of any other debt or liability
°f (ST to you (whether matured or not) you may think fit, any ultimate balance
to be at ',(')) disposal. And in case the net proceeds of the Goods held against
any Bill shall be insufficent to pay the amount of such Bill with re-exchange
and charges, you are authorized, without prejudice nevertheless to the Claim
against any other party liable for the same, to draw on "" for the deficiency, and
w„ engage to honour such Drafts on presentment, or to pay the amount in London,
il being expressly agreed that the Account Current rendered by you shall be
sufficent proof of sale and loss.
