GENERÄL PRODUCE BROKERS’ ASSOCIATION OF LONDON RULES FOR
DELIVERY CONTRACT,
Ist JANUAR Y, 1897.
1. —Any slight Variation in marks (other than quality marks), numbers, or
Ship’s name, not to vitiate this contract.
2. —No contract shall be cancelled excepting in respect of loss at sea, unless
power to cancel be specified in the contract.
3. —Each declaration to be treated as a separate contract, and such declaration
to be considered as confirmed unless objection be made within three clear days.
Should any difference arise as to the quantities delivered, the contract shall be
considered as a whole in respect of such difference when the final declaration
is made.
4. __ xt is understood that the words »about« or »more or less,« applied
to quantities contracted for, mean the nearest amount which sellers should fairly
and reasonabiv deliver, but no excess to be greater than 5 per cent. Any excess
or deficiency beyond 2| per cent of the quantity contracted for, to be settled in
accordance with Rule 6.
5. —In all cases where the contract does not bear on its face the name of
the principal for whom the broker is acting, the latter shall not be bound to
guarantee the solvency of his principal, unless such guarantee be expressed in
the contract.
ß.—Whenever it may be admitted by the seller, or decided by arbitration,
that the seller has failed to fulfil the terms of this contract, the buyer shall
»close« by invoicing back the produce to the seller at once, at a price and weisht
to be fixed by arbitration, which price shall not be less than 2 per cent., and
not more than 10 per cent., over the estimated market value of the shipment con
tracted for on the day upon which the default occurs, the difference to be. due
in cash in fourteen days. If before the maturity of this contract either party liable
on the face thereof shall suspend payment or be a defaulter, or have a receiving
Order in Bankruptcy made against him, the contract shall. thereupon be closed
(forty-eight hours’ notice having been previously given to him) upon terms to be
fixed by arbitration, in accordance with Rule VII. of The General Produce
Brokers’ Association of London.
7.—In the event of any dispute whatever arising out of this contract
between the parties liereto, or their personal representatives, or in any way what
ever relating to it or to its construction or fulfilment, every such dispute shall
be referred to arbitration, in accordance with Rule VII., set out below. This
Submission to arbitration shall be irrevocable, and it and the award to be made
in pursuance thereof shall be enforcible under the provisions of the Arbitration
Act, 1889.
RULE VII. OF THE ASSOCIATION REFERRED TO ABOVE.
The Committee shall have power, when called upon, to settle matters in
dispute between Members of the Association in connexion with their business
transactions.
